Proven Legal Victories for Thriving Businesses

Case Study 1 Acquisition of Business
Challenge: Before hiring Holden Law, a client signed a Letter of Intent (“LOI”) to purchase an existing business. After performing due diligence and reviewing the business’s financials and tax returns, the client decided not to proceed with the sale because the facts did not align with the seller’s original representations. The seller refused to return the client’s deposit if the client canceled the transaction. Holden Law was hired to help recover the buyer’s deposit.

Case Study 2: Franchise Agreement Review
Challenge: A first-time franchisee wanted to know whether there was anything unusual in her franchise agreement for a new restaurant concept. The Franchise Agreement is approximately 60 pages, and the franchisee was overwhelmed. The franchisee was scheduled to attend a Discovery Day for the franchise system the following week. She wanted to understand the terms of the franchise agreement by Discovery Day.

Case Study 3: Commercial Lease Issues
Challenge: A franchisee/tenant signed a commercial lease that included specific landlord improvements that must be performed before the landlord delivered possession of the space to the tenant. The tenant would not perform the tenant’s initial build-out of the space until after the landlord’s improvements were completed. The franchisee/tenant notified Holden Law that the landlord attempted to deliver the space with the landlord’s buildout incomplete; the landlord also informed the tenant that the rent commencement date would be 180 days from the incomplete delivery.
